TERMS & CONDITION OF SALES – HID, CFL, BIAX & FLUORESCENT LAMPING (SCROLL DOWN FOR LED & INDUCTION TERMS & CONDITIONS)

PRICE GUIDE: All options offered in the price guide are applicable to products as shown in the current Solera catalogue only. All previous price guides are not applicable.

NEW ACCOUNTS: All new accounts are required to fill out and sign Solera’s credit application. The first order on new accounts will require a payment to Solera prior to shipping. All accounts and orders are subject to credit approval by Solera prior to acceptance and shipping.

WARRANTY: (a) All products are guaranteed to be free of defects in workmanship and material for a period of 1 year from the date of manufacture. Solera will supply, without charge, any component part of fixture (except lamp) that fails within this period provided that the product or products have not been subject to period, abnormal stresses or altered in anyway on site. If parts i.e. replacement ballasts, are required, a Purchase Order must be forwarded to our office for the new part required. This is automatically charged back to the customer and credited upon receipt of the defective material. An RA will not be issued without receipt of a Purchase Order. This warranty excludes labour, shipping and/or service charge.

WARRANTY: (b) An extended 3 year warranty is available at a premium price depending on order value and geographical location. Labour charges for replacement materials is not included in this warranty

WARRANTY: (c) Solera warranty excludes reimbursement for inconvenience, loss of use, labor, shipping and/or service charge.

RETURNED GOODS: All returned merchandise shall be freight prepaid. All authorized items of return are subject to merchandise credit only and credit is available only after inspection and acceptance of the returned goods. Returns must be made in factory sealed original cartons. No returned products will be accepted for credit without written return authorization from Solera.

SHORTAGE OR DAMAGE CLAIMS: Title to merchandise passes to the buyer when material leaves our factory loading dock. All claims for lost or damaged goods must be made by the customer with the delivering carrier within 24 to 48 hours of receipt of goods.

CUSTOM DESIGN ORDERS: a 50% Deposit is required with orders, 25% when goods are ready to ship and 25% will be extended Net-30 terms upon approved credit. Custom design orders are non-returnable and non-refundable.

ORDER GUIDELINES:

a) ORDERS: Solera reserves the right to refuse an order. A Distributor Purchase Order must always be forwarded to our office at time of entry and acceptance of any order is subject to Solera terms and conditions of sale. All orders are subject to credit approval by Solera and proper security being in place if required. Orders are accepted via email (PDF file) to oe@soleracorp.com or can be faxed to 905-457-1115.

b) Minimum quantities apply for some items.

c) Taxes are extra as applicable.

d) Lamps are not included in prices shown.

e) Protected “MP” Metal Halide must be used in Open Fixtures.

f) MINIMUM ORDER: A minimum charge of $100.00 is applicable to all accepted orders except warranty.

g) ORDER CANCELLATIONS: Orders are not subject to cancellation, either in whole or in part, except by our written consent. All products are custom made to order therefore, 100% cancellation charge is standard and will be applied unless otherwise agreed in writing.

h) CREDIT WORTHINESS: All orders are subject to credit review and Solera reserves the right to decline credit or deduct from commissions at our discretion.

i) SAMPLE ORDERS: Solera requires a purchase order for all sample orders. Samples will be supplied to the representative at sample price for 60 days. When the sample is returned on or before 60 days, the amount will be credited to the account in question. If the sample has not been returned, no credit will be given.

j) DESIGN CHANGES: The shipped product may be updated in details from the published design. Solera reserves the right to supply updated design. Determined by availability of components and services without any notice.

Shipping & Delivery

TRANSPORTATION, PACKAGING AND HANDLING:

All orders are shipped FOB our plant. Standard Ground Dock-to-dock Shipment charges “for orders over $4,000.00 are covered by Solera”. Additional charges apply for special or accessorial arrangements (e.g., delivering to jobsite, tailgating, special truck/dedicated truck, re-consignment, delivery by appointment, delivery to “Beyond” addresses outside of major urban centres, delivery to schools, college campuses, hospitals, residential areas, and others). All shipping costs for Poles, concrete bollards, special requests for air express service, anchor bolts & housing needed in advance will be EXTRA. Any requests may be subject to a freight premium. Any special packaging requirements may be subject to additional charges. Partial release of an order requested by the customer for shipment and balance of the order will be treated as individual orders, relative to freight allowance. Transit times are estimates only and not legally binding. Solera will use its own discretion in routing all shipments. Special routing requests by the customer will be accepted, but all freight charges resulting thereof will be the responsibility of the customer. Solera will use unionized or non-unionized transportation companies at its discretion.
